Terms of Service & End User License Agreement

1. Acceptance of Terms & License

By accessing or using the Coeffection CRM platform ("Service"), you agree to be bound by these Terms of Service and End User License Agreement ("Terms"). These Terms constitute a legally binding agreement between you and Coeffection, Inc. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Subject to your compliance with these Terms, Coeffection grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term. This license does not include the right to sublicense, resell, or redistribute the Service.

2. Description of Service

Coeffection is a multi-tenant customer relationship management (CRM) platform that provides contact management, pipeline tracking, communication tools, and third-party integrations. The Service is provided on a subscription basis.

3. Accounts and Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to violate any applicable laws
  • Attempt to gain unauthorized access to the Service or other users' data
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit viruses, malware, or other malicious code
  • Use the Service to send unsolicited bulk communications (spam)
  • Reverse engineer, decompile, or disassemble any part of the Service

5. SMS/Text Messaging Services

The Service includes the ability to send and receive SMS and MMS text messages through integrated phone providers (such as Zoom Phone). By using the SMS features of the Service, you agree to the following:

  • You will obtain proper consent from recipients before sending them SMS/MMS messages, in compliance with the Telephone Consumer Protection Act (TCPA) and applicable 10DLC regulations.
  • You will not use the Service to send unsolicited bulk text messages, spam, or messages containing prohibited content (including but not limited to adult content, cannabis, gambling, debt collection, or high-risk financial services).
  • You will honor opt-out requests promptly. When a recipient replies STOP or otherwise requests to stop receiving messages, you must cease messaging them immediately.
  • You will include your organization name and opt-out instructions in messages as required by carrier regulations.
  • You are solely responsible for ensuring your SMS usage complies with all applicable federal, state, and local laws, including TCPA, FCC regulations, and carrier-specific requirements.
  • No mobile information collected through SMS communications will be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for details.

Coeffection may suspend or disable your SMS capabilities if we determine that your usage violates these Terms, applicable law, or carrier policies.

6. Your Data

You retain ownership of all data you enter into the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to use, process, and store Your Data solely to provide and improve the Service.

You may export or delete Your Data at any time through your account settings. Upon account termination, we will retain Your Data for 30 days before permanent deletion, unless longer retention is required by law.

7. Third-Party Integrations

The Service allows you to connect third-party services (Google Workspace, Zoom, Twilio, QuickBooks, etc.). When you enable an integration:

  • You authorize us to access and exchange data with the third-party service on your behalf.
  • Your use of third-party services is subject to their own terms and privacy policies.
  • We are not responsible for the availability, accuracy, or conduct of third-party services.
  • You may disconnect integrations at any time through your settings.

7a. QuickBooks Online Integration & Financial Data

The Service integrates with Intuit QuickBooks Online ("QuickBooks") to synchronize invoices, payments, customers, and products between your Coeffection account and your QuickBooks company. By connecting QuickBooks, you acknowledge and agree to the following:

  • License to Access QuickBooks Data. You grant Coeffection a limited, revocable license to access, retrieve, and transmit data from your QuickBooks account solely for the purpose of providing the synchronization and reporting features described in the Service.
  • Data We Access. When connected, the Service may read and write the following QuickBooks data on your behalf: customers, invoices, payments, credit memos, products/services, tax rates, and account balances. We access only the data necessary to perform the features you enable.
  • Data Security. All QuickBooks OAuth tokens and financial data are encrypted at rest using AES-256 encryption and transmitted exclusively over TLS 1.2+. Access tokens are automatically refreshed and never exposed to client-side code.
  • No Sale of Financial Data. We will never sell, rent, or share your QuickBooks financial data with third parties for marketing, advertising, or any purpose unrelated to providing the Service.
  • Revocation and Data Removal. You may disconnect your QuickBooks integration at any time from your account settings. Upon disconnection, we immediately revoke our access tokens with Intuit and cease all data synchronization. Previously synced records remain in your Coeffection account for continuity but are no longer updated. You may request deletion of all synced QuickBooks data by contacting support@coeffection.com.
  • Intuit Terms. Your use of QuickBooks is subject to Intuit's own Terms of Service and Privacy Statement. In the event of a conflict between these Terms and Intuit's terms regarding your QuickBooks data, Intuit's terms shall prevail.

8. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. If you do not agree to the new pricing, you may cancel your subscription before the next billing cycle.

9. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by law, Coeffection shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Termination

You may cancel your account at any time through your account settings. We may suspend or terminate your account if you violate these Terms, with notice where practicable. Upon termination, your right to use the Service ceases immediately, and we will handle Your Data as described in Section 6.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the platform at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
